POSTINO PASS PROGRAM TERMS & CONDITIONS

PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT, DOWNLOADING A DIGITAL PASS, OR PARTICIPATING IN THE POSTINO PASS PROGRAM, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE, DO NOT PARTICIPATE IN POSTINO PASS.
1. General & Entity Scope
Postino Pass™ ("Program") is operated by Upward Projects Holdings, LLC and its subsidiaries, affiliates, managed brands, and locations, including Postino WineCafe (collectively, "Upward Projects", "we", "our", or "us"). Participation in the Program is governed by these Terms & Conditions ("Program Terms"), our Website Terms & Conditions (available at https://www.postino.com/terms-and-conditions), and our Privacy Policy (available at https://www.postino.com/privacy-policy), all of which are incorporated herein. Postino Pass is intended for individual, personal use only; commercial use or participation by corporations, partnerships, limited liability companies, or other corporate entities is prohibited. Postino Pass is a free promotional loyalty program and does not involve paid memberships, recurring fees, auto-renewing subscriptions, or stored monetary balances.
2. Eligibility & Double Age Verification
Postino Pass is open exclusively to legal residents of the United States who are at least twenty-one (21) years of age.
Age Verification: Account registration requires double age verification consisting of: (a) entering a valid date of birth confirming you are 21 or older, and (b) checking the mandatory age confirmation box during registration.
Account Limits: Limit one (1) account per person. Accounts are non-transferable, intended solely for individual use, and may not be created by automated or commercial means.
3. Discretionary Perks & Eligible Channels
Perks, promotional drops, and surprise offers ("Perks") are offered strictly at the discretion of Upward Projects and are not earned through guest spend or visitation tracking. Upward Projects reserves the right to alter, pause, substitute, or end Perks or Program rules at any time without prior notice. Perks carry individual expiration dates, which are communicated within your Perks section while logged into your member dashboard online.
Eligible Channels: Perks are valid solely for direct in-restaurant dine-in visits at participating Postino WineCafe locations or direct online purchases made at Postino.com.
Third-Party Exclusion: Orders placed through third-party delivery services, marketplace platforms, or aggregators (e.g., DoorDash, UberEats, Grubhub) are strictly excluded and ineligible for Perk earning, qualification, or redemption.
No Cash Value: Perks are promotional, have no cash or legal tender value, and cannot be bartered, sold, or transferred.
No Gift Card Value: Perks cannot be used to purchase a gift card and cannot be transferred into gift card value.
4. State Alcohol Compliance & Location Registration
All Perks involving wine, beer, or alcohol are governed by applicable federal, state, and local liquor laws.
State-Specific Rules: During account creation, participants must select their primary state and favorite Postino location. Accounts registered in Georgia, North Carolina, and Tennessee are governed by specific state-level alcohol restrictions regarding promotional offers, happy hour pricing, and discounts.
Substitutions & ID: Upward Projects reserves the right to substitute a non-alcoholic food or merchandise item of equal or lesser value where required by state liquor laws. Valid government-issued photo ID (21+) is required for any alcohol service or redemption.
5. Data Ownership & Privacy
Upward Projects retains exclusive ownership over all guest data, transaction records, preference selections, and operational analytics generated through Postino Pass. Personal information is managed under the Upward Projects Privacy Policy (https://www.postino.com/privacy-policy).
6. Program Discretion, Account Suspension & Termination
Upward Projects’ determinations, interpretations, eligibility decisions, or any questions or disputes arising under Postino Pass, these Program Terms, or any other Upward Projects rules are final and binding. Nothing in these Program Terms limits Upward Projects from exercising any rights or remedies available at law or in equity.
Upward Projects reserves the right to suspend or terminate any Postino Pass account, Perk, or participation in the Program if, in its sole discretion, it determines or suspects a violation of these Program Terms, or that participation or account use is unauthorized, deceptive, duplicative, fraudulent, unlawful, or subverts the purpose of the Program. Upward Projects may suspend, cancel, or combine accounts that appear to be duplicative. In the event an account or participation is terminated, all active or unredeemed Perks in such an account are immediately forfeited and void.
7. Disclaimer of Warranties & Limitation of Liability
To the fullest extent permitted by applicable law, Postino Pass, the member dashboard, and all Perks are provided on an "AS IS" and "AS AVAILABLE" basis. Upward Projects disclaims all warranties, express or implied. Upward Projects shall not be liable for any direct, indirect, incidental, or consequential damages arising out of or related to your participation in the Program, technical malfunctions, or unavailable Perks. In any event, Upward Projects’ total liability to any participant shall be limited strictly to re-crediting or substituting the specific Perk in dispute.
8. Governing Law & Venue
These Program Terms and any legal disputes arising out of or related to Postino Pass shall be governed by the laws of the State of Arizona, without regard to conflict of law principles. Exclusive jurisdiction and venue shall lie in the state or federal courts located in Maricopa County, Phoenix, Arizona.
9. How to Delete Your Account or Cease Receiving Communications
You may discontinue your participation in Postino Pass at any time by deleting your online account. If you delete your account, any unredeemed Perks, make-goods, or benefits are immediately forfeited and void.
Account Deletion: Log into your member dashboard at postino.com/dashboard, navigate to Member Settings, or Account Support, and follow the account deletion prompts, or contact Guest Services for assistance.
Marketing Opt-Out: You may opt out of marketing communications by texting STOP to cease text messages, clicking "unsubscribe" in promotional emails, or contacting Guest Services.
